TERMS OF SERVICE Last Updated: October 24, 2025 1. Introduction Welcome to ProStock Media Inc. (“ProStock,” “we,” “our,” “us”). By accessing or using our website (“Site”) and purchasing any video content (“Content”), you agree to these Terms of Service (“Terms”). If you do not agree, please discontinue use of the Site. 2. About ProStock ProStock provides royalty-free, ready-to-use video content for businesses and creators. Purchases can be made through single-item transactions, credit packs, or subscription plans. 3. Account Registration Users must create an account to purchase or download Content. You agree to provide accurate, current information and to keep your login credentials secure. You are responsible for all activity under your account. 4. Payment and Billing Payments are processed via Stripe or another secure payment processor. Prices are shown in CAD (or your local currency where available). Taxes may apply based on your jurisdiction. By purchasing, you authorize us and our payment processor to charge your selected payment method. 5. Credits and Subscriptions Credits: Credits may be purchased and redeemed for Content downloads. Credits are non-transferable and non-refundable once used. Subscriptions: Subscriptions provide access to a set number of downloads per billing period. Unless cancelled, subscriptions renew automatically at the then-current rate. You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. 6. License Grant Upon purchase or valid download, ProStock grants you a royalty-free, non-exclusive, perpetual, worldwide license to use, modify, and incorporate the Content in any personal or commercial project, including marketing, advertising, film, or digital media. You may not: Resell, redistribute, or sublicense the Content as standalone files or as part of any competing stock-media platform. Claim ownership or authorship of the Content. Use the Content in any defamatory, pornographic, or illegal manner. 7. Refund Policy Due to the digital nature of our products, all sales are final. Refunds are issued only in cases of technical error (e.g., duplicate payment or corrupted file) at our discretion. 8. Intellectual Property All Content, trademarks, design, and branding remain the intellectual property of ProStock Media Inc. or its licensors. Your license gives you usage rights, not ownership of the underlying files. 9. Termination of Access We reserve the right to suspend or terminate accounts that violate these Terms or misuse our Content. Termination does not affect existing license rights for Content previously purchased. 10. Disclaimer and Limitation of Liability All Content is provided “as is.” We make no warranties, express or implied, about merchantability, fitness for purpose, or non-infringement. ProStock Media Inc. is not liable for indirect, incidental, or consequential damages arising from the use or inability to use our Content. 11. Indemnification You agree to indemnify and hold harmless ProStock Media Inc., its directors, employees, and affiliates from any claims or damages resulting from your use of the Site or Content. 12. Governing Law These Terms are governed by the laws of Alberta, Canada, and applicable federal laws. Any disputes shall be resolved in the courts located in Edmonton, Alberta. 13.
